1. Introduction

Welcome to Resub.io. These Terms and Conditions (“Agreement”) govern your access to and use of the Resub.io software platform, dashboard, CRM, and all associated services provided by Resub International Limited, a company incorporated in Malta with registration number C 113903, having its registered address at Level 5, St Julians Business Centre, Triq Elija Zammit, San Giljan STJ 3153, Malta (“Company,” “we,” “us,” or “our”).

Resub.io is a Software-as-a-Service (SaaS) platform purpose-built for e-commerce merchants running subscription-based businesses. The platform provides a unified dashboard and integrated CRM enabling merchants to manage their full subscription lifecycle, recurring billing, customer data, chargeback monitoring, and payment operations from a single interface.

By registering for, accessing, or using the Resub.io Platform, you (“Merchant” or “Client”) agree to be bound by this Agreement in its entirety. If you do not agree, you must discontinue use immediately.

2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

  • “Platform” means the Resub.io SaaS application, including the web-based dashboard, CRM module, analytics and reporting tools, and all associated software, interfaces, and features made available to the Merchant.
  • “Services” means access to and use of the Platform, including subscription lifecycle management, CRM functionality, chargeback monitoring and defense tools, performance analytics, merchant account facilitation, and checkout integration support.
  • “Dashboard” means the Resub.io web-based control panel through which Merchants access, configure, and monitor all Platform features and business metrics.
  • “CRM” means the customer relationship management module within the Platform, integrated with CheckoutChamp, used to manage subscriber records, billing cycles, dunning flows, and customer communications.
  • “Merchant” or “Client” means any individual or business entity that registers for and uses the Resub.io Platform.
  • “Subscription Revenue” means all recurring revenue managed through, processed via, or reported within the Resub.io Platform on behalf of the Merchant.
  • “MID” (Merchant Identification Number) means the unique identifier assigned to a merchant account used for processing payment transactions.
  • “Chargeback” means a reversal of a payment transaction initiated by a cardholder’s issuing bank.
  • “User” means any individual authorized by the Merchant to access the Platform on the Merchant’s behalf.

3. Platform and Services

3.1 SaaS Platform Access

Resub.io grants the Merchant a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the term of this Agreement, solely for the Merchant’s internal business operations. Access is provided through a secure, web-based dashboard requiring authenticated login credentials.

3.2 Dashboard and Analytics

The Platform’s dashboard provides Merchants with centralized, real-time visibility into their subscription business, including:

  • Subscription metrics, MRR/ARR tracking, and revenue performance analytics
  • Transaction reporting and financial reconciliation tools
  • Chargeback ratio monitoring with configurable alert thresholds
  • Customer lifetime value, retention, and churn analytics
  • Processing volume summaries and trends across connected merchant accounts

3.3 CRM and Subscription Lifecycle Management

The CRM module is the operational core of the Platform, enabling Merchants to manage their subscriber base end-to-end, including:

  • Recurring billing configuration, scheduling, and automated payment retries
  • Dunning flow design and management for failed or declined transactions
  • Subscription plan creation, modification, upgrade, downgrade, and cancellation
  • Automated customer communications triggered by billing events (emails, SMS)
  • Customer segmentation, tagging, and full lifecycle tracking
  • Order management, refund processing, and subscription history logs

3.4 Chargeback Monitoring and Defense

The Platform includes integrated chargeback monitoring tools providing real-time alerts, ratio tracking, and dispute management workflows. Resub.io coordinates active chargeback defense on behalf of the Merchant where applicable, including evidence compilation, documentation management, and submission coordination with the relevant acquiring bank or card network.

3.5 Merchant Account Facilitation

As a supplementary service, Resub.io assists Merchants in obtaining merchant accounts (MIDs) by introducing them to qualified ISOs and payment brokers within Resub.io’s network. Resub.io acts solely as a facilitator in this process and is not itself a payment processor, acquirer, or issuer of merchant accounts. The contractual relationship governing any merchant account is strictly between the Merchant and the relevant ISO or acquiring bank.

3.6 Checkout Integration

Resub.io provides integration support to connect the Platform with the Merchant’s e-commerce storefront across Shopify, BigCommerce, WordPress, and WooCommerce, ensuring seamless data flow between checkout and the Resub.io dashboard and CRM.

3.7 Platform Updates

Resub.io may update, modify, or enhance Platform features at any time. We will endeavor to notify Merchants of material changes in advance. Resub.io does not guarantee that any specific feature will remain available indefinitely.

4. User Accounts and Access

4.1 Account Registration

To access the Platform, the Merchant must register an account by providing accurate, complete, and current information. The Merchant is responsible for maintaining the accuracy of their account information throughout the term of this Agreement.

4.2 Credentials and Security

The Merchant is solely responsible for maintaining the confidentiality of all login credentials, API keys, and access tokens associated with their Platform account. The Merchant must notify Resub.io immediately of any unauthorized access or suspected security breach.

4.3 Authorized Users

The Merchant may grant access to Users on their behalf. The Merchant is fully responsible for all actions taken by Users under the Merchant’s account and must ensure all Users comply with this Agreement.

4.4 Account Suspension

Resub.io reserves the right to suspend or restrict access to any account where suspicious activity, security concerns, or potential violations of this Agreement are detected.

5. Fees and Revenue Share

5.1 Revenue Share Model

Resub.io operates on a revenue-share model. The Merchant agrees to pay Resub.io a fee equal to fifteen percent (15%) of all Subscription Revenue managed through or reported within the Resub.io Platform. There are no upfront fees, setup charges, or monthly platform retainer fees, unless expressly agreed in writing in a separate addendum.

5.2 Calculation and Payment

Revenue share fees are calculated on a net basis after refunds and chargebacks, on a calendar-month cycle. Fees are payable within seven (7) business days following the end of each calendar month. Resub.io will provide monthly statements through the Platform or via email, detailing gross volume, adjustments, and net fees owed.

5.3 Late Payments

Outstanding fees not paid within the specified period may incur interest at a rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower. Resub.io reserves the right to suspend Platform access for accounts with overdue balances.

5.4 Taxes

All fees are exclusive of applicable taxes. The Merchant is responsible for all taxes, duties, and levies applicable to their use of the Platform and Services.

6. Merchant Obligations

6.1 Compliance

The Merchant agrees to operate their business in full compliance with all applicable laws, regulations, and card network rules, including but not limited to:

  • Payment Card Industry Data Security Standards (PCI-DSS)
  • Federal Trade Commission (FTC) rules governing negative option marketing and recurring billing disclosures
  • Visa and Mastercard operating regulations
  • All applicable consumer protection and data privacy laws in jurisdictions where the Merchant operates

6.2 Accurate Information

The Merchant agrees to provide accurate, complete, and current business and account information at all times, including business registration details, processing history, product or service descriptions, and billing information.

6.3 Chargeback Management

The Merchant agrees to actively manage their chargeback exposure and maintain chargeback ratios below thresholds established by applicable card networks (currently 1% for Visa and Mastercard). Persistent breach of these thresholds may result in Platform suspension or termination.

6.4 Acceptable Use

The Merchant shall not use the Platform or Services in connection with:

  • Fraudulent, deceptive, or misleading business practices
  • Sale of prohibited goods or services under applicable law or card network rules
  • Processing transactions without explicit cardholder authorization
  • Any activity in violation of anti-money laundering regulations
  • Reverse engineering, scraping, or attempting to extract the Platform’s underlying code or data structures
  • Any activity that creates undue reputational, financial, or legal risk to Resub.io

7. Data, Privacy and Security

7.1 Data Processing

Resub.io processes merchant business data, subscriber data, and transaction data solely for the purpose of delivering the Services. All data processing is conducted in accordance with applicable data protection legislation.

7.2 Merchant Data Ownership

The Merchant retains ownership of all customer and transaction data inputted into or generated within the Platform. Resub.io does not sell or share Merchant data with third parties except as required to provide the Services or as required by law.

7.3 Confidentiality

Both parties agree to keep confidential all non-public information disclosed in connection with this Agreement. This obligation survives termination of this Agreement for a period of three (3) years.

7.4 Security

Resub.io maintains industry-standard technical and organizational security measures to protect Platform data. The Merchant is responsible for securing all access credentials and for the actions of their authorized Users.

8. Intellectual Property

All proprietary technology, software, algorithms, interfaces, designs, and methodologies comprising the Resub.io Platform remain the exclusive intellectual property of Resub International Limited. Nothing in this Agreement transfers any ownership rights in the Platform to the Merchant. The Merchant is granted a limited license to use the Platform solely as described in this Agreement and may not copy, modify, distribute, sublicense, or create derivative works based on the Platform.

9. Limitation of Liability

9.1 Disclaimer

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESUB.IO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RESUB.IO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESUB.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF RESUB.IO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on Liability

In no event shall Resub.io’s total aggregate liability to the Merchant exceed the total fees paid by the Merchant to Resub.io in the three (3) calendar months immediately preceding the event giving rise to the claim.

9.4 Third-Party Services

The Platform integrates with third-party services including payment processors, CRM providers, and e-commerce platforms. Resub.io shall not be liable for any failure, error, downtime, or interruption caused by such third-party services.

10. Indemnification

The Merchant agrees to indemnify, defend, and hold harmless Resub International Limited and its officers, directors, employees, agents, and partners from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (i) the Merchant’s use of the Platform or Services; (ii) any breach of this Agreement by the Merchant; (iii) the Merchant’s products, services, or business practices; or (iv) any violation of applicable law by the Merchant or its Users.

11. Term and Termination

11.1 Term

This Agreement commences on the date the Merchant first registers for or accesses the Platform and continues until terminated by either party in accordance with this section.

11.2 Termination for Convenience

Either party may terminate this Agreement upon thirty (30) days’ written notice to the other party.

11.3 Immediate Termination

Resub.io reserves the right to suspend Platform access or terminate this Agreement immediately and without notice if the Merchant: (i) violates any provision of this Agreement; (ii) engages in fraudulent or deceptive activity; (iii) causes or risks financial, legal, or reputational harm to Resub.io; or (iv) persistently breaches acceptable chargeback thresholds.

11.4 Effect of Termination

Upon termination: (i) all Platform access is revoked; (ii) all outstanding fees become immediately due and payable; (iii) each party shall return or destroy the other’s confidential information. Merchant data may be exported upon request within fourteen (14) days of termination. After this period, Resub.io reserves the right to delete Merchant data from its systems.

12. Dispute Resolution

12.1 Good Faith Negotiation

In the event of a dispute, the parties agree to first attempt resolution through good faith negotiation for a period of thirty (30) days from the date one party notifies the other of the dispute in writing.

12.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Malta, without regard to conflict of law principles.

12.3 Arbitration

Any dispute not resolved through negotiation shall be submitted to binding arbitration in Malta in accordance with applicable arbitration rules. The language of arbitration shall be English. The arbitrator’s decision shall be final and binding on both parties.

13. Amendments

Resub.io reserves the right to update or modify this Agreement at any time. Merchants will be notified of material changes via email or through the Platform at least fourteen (14) days prior to the effective date of such changes. Continued use of the Platform following notice of amendment constitutes acceptance of the revised terms.

14. General Provisions

14.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

14.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.

14.3 Waiver

No waiver of any provision of this Agreement shall be effective unless in writing. Failure by either party to enforce any provision shall not constitute a waiver of future enforcement of that provision.

14.4 Assignment

The Merchant may not assign or transfer any rights or obligations under this Agreement without the prior written consent of Resub.io. Resub.io may assign this Agreement without restriction in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, cyberattacks, or failures of third-party infrastructure.
